Terms & Conditions

1. Services Provided

Sathis ("we", "I", "the Freelancer") provides digital marketing services including but not limited to:

• Google Ads (PPC) campaign setup and management
• Search Engine Optimisation (SEO) — on-page, technical, and local
• WordPress website development, speed optimisation, and maintenance
• Meta Ads (Facebook and Instagram) campaign management
• Google Analytics 4 (GA4) and Google Tag Manager setup
• Digital audits and strategy consultations

The specific scope of services is agreed upon before commencement and confirmed in writing via email or WhatsApp. Work begins only after scope and payment terms are agreed.

2. Payment Terms

Monthly retainer services (Google Ads, SEO, Meta Ads management):

• Management fees are billed monthly in advance at the beginning of each month
• Payment is due within 5 working days of invoice
• Work for the following month begins only upon receipt of payment
• Accepted payment methods: Bank transfer (NEFT/IMPS/UPI), Razorpay, or as agreed

One-time project services (WordPress development, audits):

• A 50% advance payment is required before project commencement
• The remaining 50% is due upon project delivery before final files or access are handed over
• For larger projects (above ₹50,000), a milestone-based payment schedule may be agreed

3. Ad Budget & Billing

This is important and different from the management fee:

• Your advertising budget (money spent on Google, Meta, or other platforms) is entirely separate from my management fee
• Ad budgets are billed directly to you by Google or Meta from your own payment method — I have no access to your billing or payment details
• I never create ad accounts in my own name for client use
• You retain full ownership and billing control of all advertising accounts at all times

I recommend minimum monthly ad budgets based on industry and goals. These are recommendations only — the final budget decision is always yours.

4. Account Ownership

All accounts created for your business belong to you:

• Google Ads accounts are created in your Google account
• Meta Business Manager and ad accounts remain under your ownership
• Google Analytics 4 properties are set up under your Google account
• WordPress websites are deployed to hosting you own and control
• All campaign history, audience data, keyword lists, and ad creatives created during the engagement remain with you upon termination

I am granted admin/editor access to manage campaigns on your behalf. This access is revoked upon termination at your request.

5. Results & Guarantees

Digital marketing results depend on many factors outside our direct control — market competition, ad platform algorithm changes, website quality, product-market fit, and seasonal demand.

What we do commit to:

• Applying best practices and active weekly management to your campaigns
• Transparent monthly reporting on all measurable metrics
• Honest communication if something is not working and a plan to address it
• Advising you if your budget or market conditions make a particular goal unrealistic

6. Client Responsibilities

For services to be delivered effectively, the client agrees to:

• Provide accurate information about the business, products, services, and target audience
• Grant necessary account access in a timely manner (Google Ads, Analytics, Search Console, website)
• Respond to requests for approvals, content, or feedback within 5 working days — delays may impact timelines
• Maintain active and funded ad accounts (ensure billing is not suspended)
• Inform us of any changes to the business, offers, or target market that may affect campaigns
• Not make changes to active campaigns or website elements without prior communication

7. Confidentiality

Both parties agree to maintain confidentiality regarding:

• Business strategies, campaign data, revenue figures, and proprietary information shared during the engagement
• Client business information will not be shared with third parties except as required for service delivery (see Privacy Policy, Section 3)
• Case studies and results may be shared publicly without identifying the client by name unless explicit written permission is given

8. Intellectual Property

Work created for you: Upon full payment, all deliverables — ad copy, website code, content, and reports — become your property.

Tools and frameworks: We may use proprietary tools, templates, or processes during delivery. The output (the campaign, website, or document) is yours; the underlying tools and methodologies remain ours.

Our website content: All content on sathis.in — text, graphics, case studies, and blog articles — is our intellectual property and may not be reproduced without written permission.

9. Termination

Monthly services: Either party may terminate with 30 days written notice via email or WhatsApp. The current month's fee is non-refundable. No work is performed or charged after the notice period ends.

One-time projects: If you cancel after work has commenced, you are liable for the work completed to that point. The 50% advance is non-refundable. A final invoice for work done beyond the advance may apply.

Immediate termination by us: We reserve the right to terminate immediately (without refund of current month fee) if:

• Payment is more than 30 days overdue
• The client requests activities that violate Google, Meta, or any platform's policies
• The client engages in abusive or threatening behaviour

Upon termination, all account access will be removed within 5 working days. Campaign history and data remain in your accounts.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you in the 3 months immediately preceding the claim
• We are not liable for loss of revenue, loss of profits, or indirect damages arising from campaign underperformance, platform outages, or algorithm changes
• We are not responsible for ad account suspensions by Google or Meta due to the client's business type, previous policy violations, or content issues outside our control
• We are not liable for website downtime caused by hosting providers, third-party plugins, or factors outside our control

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through direct negotiation. If unresolved, disputes shall be subject to the jurisdiction of courts in Coimbatore, Tamil Nadu, India.

By engaging our services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
